Job Description

Summary:


This is a rare opportunity for a corporate generalist or existing general counsel to build and structure the legal department.

Legal duties will encompass a broad range of practices, including Mergers and Acquisitions (M&A), securities, corporate finance, corporate governance, regulatory and litigation.


Essential Duties and Responsibilities:

  • Carry out all responsibilities in an honest, ethical and professional manner.
  • Structure and build the legal department. Help identify opportunities to reduce significant legal fees and add value to business.
  • M&A: Assist in drafting LOIs, NDAs, term sheets, acquisition and other documents. Assist with due diligences and other phases of deal. Efficiently manage outside counsel.
  • Other projects as assigned by CEO.
  • Corporate Governance: Draft board resolutions for 180+ subsidiaries as needed. Maintain corporate records and manage state filings.
  • Regulatory: Oversee state and federal compliance.
  • Anticipate and mitigate potential legal problems involving the company.
  • Litigation: Manage broad litigation docket and manage outside counsel on strategy and cost. Analyze trends and risks.
  • Securities/Corporate Finance: Assist with periodic filings, earnings releases, and comment letter responses. Serve as internal expert on securities laws. Manage outside counsel on debt/equity offerings and credit facilities.

Scope of Responsibility:

  • Handle projects as assigned by CEO
  • Supervise paralegals, assistant general counsel and compliance officer.

  • Strong organizational skills.
  • Ability to work effectively with individuals at all levels of the organization and outside counsel.
  • Excellent analytical skills.
  • Ability to multi-task and meet deadlines.
  • Excellent interpersonal and communication skills.
  • Excellent computer skills and deep experience with Word, Excel, PowerPoint, Gmail, Google Chrome essential.Familiarity with Serengeti/Legal Tracker preferred.
  • Strong financial and business acumen.

Education and Experience:

  • 8+ years of experience at both national law firm and in-house legal department highly preferred.
  • Member in good standing of minimum of one State Bar.
  • Exposure to broad range of legal practices highly preferred.
  • Juris Doctorate from accredited law school
  • Experience managing outside counsel highly preferred.

Work Environment:

The work environment is a desk or office in the corporate office.
