We are seeking to hire a Corporate Counsel over M&A, Integration and Corporate Matters to join our global Legal team, reporting to the General Counsel. The Corporate Counsel will serve as Legal Department lead for supporting a high volume of global acquisition transactions for the Corporate Development team on tight timelines, including reviewing transaction documents, supporting negotiations in collaboration with outside counsel, conducting legal due diligence, helping ensure a timely and smooth closing process, addressing post closing matters and addressing and advising the company on various other legal matters pertaining to acquisition transactions. Additionally, the Corporate Counsel will own and drive Legal integration for each acquisition, including continuously improving Legal integration processes and playbooks and partner closely with key stakeholders in all other departments to plan, coordinate, and manage post-closing integration processes. Lastly, the Corporate Counsel will manage general corporate matters and own the corporate governance function, with the support of insightsoftware’s corporate paralegal, including continuously improving corporate governance processes and practices.


M&A Responsibilities


  • Rapidly assess potential legal risks, benefits and consequences of decisions, presenting alternatives and propose solutions to achieve business objectives while skillfully managing legal and practical business considerations.
  • Support, implement and monitor post-closing actions (indemnification claims, earn-outs, post-closing adjustments, etc.).
  • Support the legal aspects of the deal process, including transactional document review and negotiation in coordination with outside counsel and the company's internal deal team, helping ensure aggressive deal timelines are consistently met.
  • Advise business teams on compliance with applicable regulatory requirements.
  • Manage transaction signings and closings, with the support of the Corporate Paralegal.
  • Oversee Legal due diligence, with the support of outside counsel, and participate in cross-functional due diligence.
  • Enable consistency in documentation and approach to risk in acquisition transactions, leveraging and continuously improving a comprehensive M&A deal playbook.


Legal Integration Responsibilities


  • Ensure monitoring, tracking, recording, and reporting of workstream progress to regularly produce consistent and clear status reports for the Legal team, core integration team and executive audiences, with the support of the Legal Operations Manager.
  • Develop retrospectives to identify and develop process improvements, best practices, and tools to increase the efficiency and effectiveness of future integration efforts.
  • Manage the legal aspects of legal entity rationalization in an efficient and cost-effective manner with the support of the Corporate Paralegal and outside counsel.
  • Drive execution and continuous improvement of Legal integration with stakeholders from the Legal team and multiple other departments, solving for the unique business objectives, challenges, and complexities of each acquired business, for multiple acquisitions simultaneously.


Corporate Matters Responsibilities


  • With the support of the Corporate Paralegal, (i) oversee all corporate matters and corporate governance and (ii) ensure efficient corporate governance operations and corporate records management.


Qualifications


  • Admission to one state bar in good standing.
  • Ability to effectively manage outside counsel and spend
  • Strong knowledge and understanding of software industry legal department integrations and experience leading legal department integrations.
  • Creative Problem Solving.
  • Experience leading the legal aspects of M&A transactions from start to close.
  • Highly Organized.
  • Attention to Detail.
  • Excellent organization skills and detail-oriented.
  • J.D. degree from ABA-approved law school with strong academic credentials.
  • Desire to learn and continuously improve.
  • Proven track record of managing multiple complex global projects while maintaining an efficient project plan.
  • Comprehensive understanding of M&A structures, agreements and business and legal issues in M&A transactions.
  • Experience in managing corporate governance and strong understanding of corporate governance principles.
  • Highly responsive to the needs to the supporting Legal team.
  • Strategic and critical thinking.
  • Ability to condense complex ideas and communicate in a clear and concise fashion to a variety of audiences.
  • Impeccable ethics and integrity.
  • 5+ years of legal experience in M&A, including active integration involvement, with a blend of firm and in-house experience at a high-growth software company.
  • Ability to work autonomously, multi-task, and perform effectively in a fast-paced environment.
  • Strong team player who is able to work well in a group and with virtual, global, and cross-functional teams.

Raleigh-based candidate preferred but remote candidates in the Eastern Time zone will also be considered.
