Houlihan Lokey’s Transaction Advisory Services (TAS) team assists private equity and corporate clients by providing cohesive diligence across financial, tax, data analytics, cybersecurity, and technical accounting. Leveraging data-based insights, strong technical knowledge and industry experience, the TAS team supports clients in M&A, strategic transformations and capital markets endeavors.


Drawing on Houlihan Lokey’s market leadership in middle-market M&A transactions, our deals experts provide candid, unbiased, and rigorous support on matters most impacting deal value, and assist investors in identifying and evaluating key value drivers and risk factors.


Job Purpose


Our Transaction Advisory Services (TAS) practice is looking to add exceptional financial professionals at the Associate level to our fast growing team. As a professional in the group, you will collaborate with a highly talented and dedicated group of M&A professionals, providing you broad exposure to different transactional issues affecting businesses within the healthcare M&A market today. We offer a unique opportunity to work in a variety of industries on an investment banking platform, providing exposure to the broader corporate finance industry and capital markets. You will develop and extend your financial and interpersonal skills as you perform M&A financial due diligence related to the purchase and sale of private and public companies.


Responsibilities & Deliverables


  • Oversee audit work paper review
  • Participate in buy-side and sell-side transaction advisory engagements
  • Must have the ability to handle multiple assignments simultaneously
  • Historical and projected financial and operating and commercial trends
  • Develop professional network and relationships with firm, client and target professionals
  • Review transaction agreements, customer and supplier contracts and develop valuation considerations
  • Oversee and summarize first generation research
  • Potential liabilities and risks which impact valuation and negotiation of the target company
  • Supervise team members (i.e., Analysts) through training, coaching and critical review
  • Collaborate closely with corporate finance, valuation and financial restructuring colleagues
  • Quality of earnings
  • Develop and review financial models including database systems
  • Assist in leading discussions with senior client executives and target management
  • Draft and review tailored transaction advisory reports specific to key issues such as normalized earnings, achievability of management’s budget, indebtedness considerations, and post-transaction working capital analysis
  • Working capital and net debt considerations, and
  • Execute and review diligence through fieldwork, management meetings and desktop review
  • Review target company financial information and other data to identify:
  • Assist in initiating and extending group marketing and client development efforts
  • Extend industry skills and qualifications


Basic Qualifications


  • Undergraduate degree from an accredited institution
  • CPA (or at minimum, must have passed all 4 parts of the CPA exam)
  • A minimum of 2 years of audit experience and 2 years of financial due diligence experience (or a combination; candidates must have at least 4 years of experience), preferably with a Big 4 firm


Preferred Qualifications


  • Ability and desired willingness to travel
  • Healthcare industry concentration is encouraged (but not required)
  • Demonstrated understanding and application of capital markets and valuation concepts
  • Exceptional verbal and written communication skills
  • Strong current knowledge of US Generally Accepted Accounting Principles including SEC reporting, purchase accounting and transaction related issues
  • Highly motivated with an exceptional work ethic, and a demonstrated ability and desire to work cooperatively with team members and client professionals
  • Demonstrated professional achievement and client service excellence
  • Familiarity with Tableau, Alteryx and data analytics packages preferred (but not required)
  • Strong analytical abilities
  • Strong command of Microsoft Word, Excel, and PowerPoint

Houlihan Lokey is committed to providing its employees with an exciting career opportunity and competitive total compensation package, which may include other components such as discretionary incentive compensation.


$95,000.00-$160,000.00


Actual salary at the time of hire may vary and may be above or below the range based on various factors, including, but not limited to, the candidate’s relevant qualifications, skills, and experience, as well as the service line and location where this position may be filled.
