Job Description
Overview :
To serve as a key member of the legal team in all matters, including:
  • Oversee contract management, assist business partners with understanding contract compliance and potential contract discrepancies;
  • Perform legal research to provide guidance on matters pertaining to employment, general liability, and other legal matters;
  • Work with General Counsel to meet the legal and governance needs of all business units as well as corporate parent;
  • Serve as a primary point of contact for internal and external parties in relation to understanding business needs and their legal implications within various business units, but with a focus in the specialty pharmacy unit;
  • Provide guidance to various business units on privacy matters.
  • Draft and negotiate legal documents including Master Service Agreements, Consulting Agreements, Confidentiality Agreements, policy and procedure documents, training materials, and other documents impacting the provision of legal advice to the Company;
  • Assist with special projects at the direction, and with the supervision of, the General Counsel;
Responsibilities:
  • Triages and assists with all legal issues, as assigned.
  • Communicates with and manages any third-party bodies such as external counsel or auditing bodies.
  • Develops internal legal programs, as assigned.
  • Develops/maintains processes to track contracts from initiation through expiration/termination.
  • Integrates the legal workflow within existing business development and professional service workflows, ensuring critical timelines are met.
  • Stays up-to-date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect our business and industries.
  • Liaises with senior members of staff.
  • Analyzes legal issues and recommends solutions.
  • Partners with various departments and reviews contractual documents to ensure adherence to company practice, client specifications and requirements, and conformance to master agreements.
  • Drafts, structures, reviews and negotiates contractual documents that establish business relationships with vendors, clients and/or partners.
  • Responsible for training or creating training materials for internal Clients on contracts and other legal matters.
  • Coordinates with Regulatory Affairs and Compliance, as necessary.
  • Serves as primary legal contact for privacy matters, including HIPAA (for Knipper Health Pharmacies) and internationally, federal, and state privacy laws for Knipper Health non-HIPAA activities.
  • Responds to inquiries regarding contract obligations and revisions.
  • Promotes legal, compliance and risk management best practices throughout the company.
  • Participates in meetings with executives and Board and assists with preparation of materials.
  • Works with sales and client service teams to structure contracts and statements of work in accordance with contract specifications and business needs.
  • Serves as an initial legal point of contact for all legal matters.

Qualifications:
Education/Training: Juris Doctor (JD). Licensed to practice law in NJ.

Business Experience:
Minimum 3 years (Assistant Counsel), 5 years (Associate Counsel), 10 years (Associate General Counsel) law firm or in house experience. Pharmaceutical, specialty pharmacy, or third party logistics (3PL), or healthcare experience required. Healthcare privacy experience highly preferred.

Knowledge,Skills & Abilities:
  • Specialized legal knowledge and ability to assist counsel in examination, review, evaluation and preparation of legal documents relating to the business of the corporation. Sound understanding and knowledge of corporate law.
  • Experience with pharmaceutical law, specialty pharmacy, third party logistics, and privacy regulations
  • Excellent oral and written communication skills; ability to conduct legal and factual research. Strong presentation skills.
  • Ability to build and maintain strong professional relationships across the business.
  • Experience with contract management software
  • Proficient in the use of MS Office; Word, Excel and email/calendar applications
