Job Description

Job Purpose

Intercontinental Exchange (ICE) is looking for an experienced corporate paralegal to join the ICE Legal Department. The ICE Legal Department is responsible for advising clients across the organization with respect to all legal, regulatory and compliance matters. This Paralegal role will be responsible for certain of ICEs corporate legal matters, working alongside another paralegal and the Vice President, Associate General Counsel and Corporate Secretary. This is an important role in the organization with high visibility to clients and executives.

This Paralegal will be an integral member of the legal team who works with other members of the legal department, Company executives, and the Companys accounting, finance, treasury, investor relations, human resources and operations teams to support the Companys needs. The ideal candidate will be extremely detail oriented, confident, professional and proactive in their approach, have the ability to work collaboratively and also be capable of working autonomously. They must be comfortable with, and skilled in, interacting with attorneys, other professionals in various departments and executives.

Responsibilities

Managing certain of ICE
  • S in-house corporate processes, including corporate entity management for over 180 legal entities.
  • General corporate paralegal work including contract management and corporate transactional work including review and drafting of resolutions, administration of questionnaires, evaluations, board attendance records, etc.
  • Manage proxy statement related administration matters, including collection of data, preparation of meeting materials, preparation and maintaining of biographies and other information.
  • S NYSE listing requirements, including by completing annual and interim attestations.
  • Assist with public company corporate secretary matters, including the maintenance of director and officer files and Board/committee minute books.
  • Develop, maintain and continuously improve template documents and processes.
  • Prepare and review documentation for intercompany transactions (including for non-U.S. subsidiaries), including by preparing intercompany agreements and corporate documentation, coordinating with local counsel, and coordinating with internal business partners.
  • Assist with matters related to the Board of Directors of the Company, including the preparation of meeting materials and the preparation, dissemination and review of annual D&O Questionnaires.
  • Working closely with tax, accounting, finance and external auditors with respect to legal-related requests and various processes that impact the standing and governance of legal entities.
  • Perform substantive and critical review of documents, such as consents, resolutions, certifications, and minutes requiring signature of corporate officers.
  • Coordinate signatures, notarizations, and legalization of various legal documents by directors and officers.
  • Serve as an initial point of contact for internal requests for corporate documentation and general corporate support.
  • S domestic and international entities as needed for business initiatives.
  • Assist with the preparation and filing of routine SEC documents, including filings under Section 16 of the Exchange Act (Forms 3, 4 and 5). Maintain and update EDGAR codes, powers of attorney, filing signatures, and other documentation and administrative items related to SEC filings.
  • Manage corporate calendar of filing dates and supporting actions.
  • Manage and retain all records for 10b5-1 trading plans and perform trading approvals.

Knowledge and Experience

Bachelor
  • Preferred experience using the following:
    • Adobe Acrobat Sign, or other e-signature platform
    • Computershare GEMS, or other entity management software
    • Diligent Boards, or other board material management portal
    • Thomson Reuters Legal Tracker, or other electronic legal billing system
  • S business moves very quickly and every team member plays a critical role. Candidates must also have the ability to interact positively and confidently with others, to interface with individuals both internally and externally, and the determination and focus to succeed in shared objectives.
  • A deep understanding of requirements, best practices, processes and procedures related to corporate governance, entity administration and SEC reporting.
  • The ideal candidate will be able to work well independently and as part of a team, taking responsibility for some projects and collaborating on others. He or she will approach tasks in a creative and fresh manner and will follow through to ensure implementation.
  • S results and processes.

  • Experience working with a board of directors, senior management and cross-functional teams.
  • S degree with at least five years of corporate paralegal experience (preferably in-house).
  • High proficiency in computer systems and programs such as the Microsoft Office suite (Outlook, Excel, PowerPoint and Word), Adobe Acrobat Pro, and ability to learn ICE-specific systems.

  • Computershare GEMS, or other entity management software

Schedule

This role offers work from home flexibility of up to 2 days per week.
