About the role
Job Purpose:
As Corporate Counsel, you will support the Vice President, General Counsel in providing legal review and guidance on commercial contract negotiations and transactions. Another primary responsibility of this role is to provide training and development materials to the Proposals and Contracts organization to enable the team to effectively negotiate agreements. In this role you will also provide legal support and expertise to the broader legal department in areas of data privacy, compliance, and HR/employment matters.
Key Accountabilities:
Negotiation of Master Service Agreements
  • Review and negotiate client master service agreements, SaaS agreements, data processing agreements, vendor contracts, leases, and complex supplier agreements
Contract Execution
  • Liaise and partner with Calyx’s Proposals & Contracts team and Procurement team in bringing contracts to execution and field escalations and questions
Manage Contract Development process and Training
  • Support Assistant General Counsel in continuously improving all templates and developing contract playbooks, guidance, trainings, and other materials to enable the Proposals & Contracts team and Procurement team to efficiently and effectively negotiate agreements
Legal Support for Compliance, Data Privacy, Investigations and Employment Matters
  • Provide legal support and expertise to legal department in other areas including, but not limited to, data privacy matters, compliance matters, investigations, employment matters (e.g., severance, dispute management)
Risk management
  • Provides leadership on risk management and the organizational and business levels
  • Considers organization-wide risks and mitigation activities within the context of business risk as a whole and the organization’s appetite for risk
Relationship management
  • Works with all interested parties to identify stakeholders and establish effective relationships.
  • Establishes and promotes the overall vision for how stakeholder objectives are met and determines organizational roles and alignment
  • Determines the strategic approach to understanding stakeholder objectives and requirements
  • Actively manages relationships with the most senior stakeholders, and is the ultimate escalation point for issue resolution
Skills
  • Ability to demonstrate strong legal and business judgment
  • Capable of delivering excellent client service and must possess the personal and professional maturity to develop and maintain strong relationships with key business clients.
  • Ability to quickly discern and prioritize the importance of certain contractual terms over others with the goal of efficiently reaching resolution with clients and suppliers
  • Must have the ability to work methodically in a fast-paced, time-sensitive environment
  • Excellent contractual drafting and negotiation skills
Knowledge and Experience:
  • Understanding of corporate infrastructure and stakeholders of a mid to large-sized professional services or technology company a plus
  • Experience with a reputable mid to large sized law firm demonstrating impeccable drafting and negotiation skills
  • Strong knowledge of key legal concepts and levers in negotiations
  • Experience working with global clients a plus
Education:
  • Undergraduate degree and JD from an accredited law school.
  • Admitted to at least one state bar with good standing (US employees only)
